1. Service Structure
Clients can choose between two types of service structures:
- **Fixed-Rate Contract**: A set price for a defined scope of work.
- **Hourly-Rate Contract**: Payment based on the number of hours worked, tracked, and billed at an agreed-upon hourly rate.

2. Fixed-Rate Contract Policy

Scope of Work:
- A detailed proposal outlining the specific services and deliverables will be provided before the project begins.
- The fixed rate applies only to the agreed-upon scope of work. Any additional work outside the original scope will require a new agreement and may incur additional fees.

Payment Terms:
- A deposit of 25% of the total project fee is required upfront to initiate work.
- The remaining balance is due upon completion of the project, or in installments based on milestones (as specified in the contract).
- The final payment is required before the delivery of all final assets or services.

Revisions:
- The contract includes 4 rounds of revisions. Additional revisions beyond this may result in additional charges.

Deadlines:
- Both parties will agree upon a timeline for deliverables at the start of the project. Delays in providing feedback or necessary materials may result in timeline extensions.

Refund Policy:
- Refunds are not available for services already completed. If the project is canceled by the client after work has commenced, the client is responsible for paying for all completed portions of the project.

3. Hourly-Rate Contract Policy

Hourly Rate Agreement:
- The hourly rate will be min 40 per hour of work.
- Time will be tracked using Excel, and a detailed timesheet will be provided with each invoice.

Payment Terms:
- Invoices will be sent on a weekly basis based on hours worked.
- Payment is due within 2 days of receiving the invoice.
- Late payments may incur a 15% late fee for each 3 day period overdue.

Revisions and Additional Work:
- The client will be billed for any additional revisions or work requested that go beyond the agreed-upon hours or tasks.

Deadlines:
- While hourly-rate work is flexible, both parties should establish a timeline for completing specific tasks. Delays in feedback or approvals from the client may impact the completion of the project.

4. Cancellation Policy

Fixed-Rate Contracts:
- If the client wishes to cancel a fixed-rate project after work has begun, the client is responsible for payment for all work completed up until the cancellation date.
- If the client cancels before work starts, the deposit is non-refundable.

Hourly-Rate Contracts:
- If the client wishes to terminate the hourly-rate agreement, they must provide 1 days' notice. The client is responsible for paying for all hours worked up until the cancellation date.

5. Client Responsibilities

- Any delays caused by the client (such as late feedback or unavailable materials) may affect timelines and costs.

6. Ownership and Rights
- For Fixed-Rate Contracts, the client will own the final deliverables once full payment has been received.
- For Hourly-Rate Contracts, ownership of all work completed will transfer to the client upon receipt of payment for all outstanding invoices.
- Jazzie Marketing Guru retains the right to use completed work for portfolio or marketing purposes unless otherwise agreed upon in writing.

7. Confidentiality
- Both parties agree to keep any confidential information shared during the course of the project private and not disclose it to any third party without written consent.

8. Liability
- Jazzie Marketing Guru is not responsible for any loss or damage resulting from the use of services or deliverables. The freelancer’s total liability will be limited to the total fees paid for the services.

9. Dispute Resolution
- Any disputes arising from the contract will first be attempted to be resolved through informal negotiation. If a resolution cannot be reached, both parties agree to settle disputes according to the laws of Texas.
