These Terms and Conditions govern the provision of digital marketing services by Jazzie Marketing Guru ("Freelancer") to the client ("Client"). By engaging in our services, you agree to the following terms:

1. Services Provided
Jazzie Marketing Guru provides digital marketing services, including but not limited to:
- Search Engine Optimization (SEO)
- Social Media Marketing
- Pay-Per-Click Advertising (PPC)
- Email Marketing
- Content Creation and web development
- Strategy Development
- Analytics and Reporting

The specific services to be provided will be outlined in the proposal or scope of work agreed upon by both parties.

2. Booking and Scheduling
- All bookings for services require **at least 24 hours' notice** for scheduling or changes.
- If a booking is canceled or rescheduled with less than 24 hours' notice, a **50% booking fee** will apply.

3. Payment Terms
- Payment Schedule: The Client agrees to the payment schedule outlined in the contract. Payment is due within 3 days of receiving the invoice.
- Late Payments: Payments not received within 7 days of the invoice date will incur a 25% late fee for each 3 day period overdue.
- Deposit: A 25% deposit may be required to begin work on a project.
- Refunds: Refunds will not be issued for services already completed.

4. Scope of Work
- All services provided will be described in a detailed agreement or scope of work signed by both parties.
- Any requests for additional services outside the initial agreement may incur additional fees and must be agreed upon in writing.

5. Client Responsibilities
- The Client is responsible for providing all necessary information, materials, and access (e.g., website admin, analytics tools) required for the completion of the project.
- Failure to provide these materials in a timely manner may result in delays or additional charges.

6. Revisions
- The Client is entitled to 4 rounds of revisions for deliverables within the scope of work.
- Additional revisions outside of the agreed scope may incur extra charges.

7. Confidentiality
- Both parties agree to keep confidential any proprietary information, trade secrets, or confidential materials shared during the course of the project.
- This confidentiality agreement remains in effect after the completion of the project.

8. Intellectual Property
- **Ownership of Deliverables:** Upon full payment, the Client will own the final deliverables. However, Jazzie Marketing Guru retains the right to use the work for portfolio and marketing purposes unless otherwise agreed in writing.
- **Third-Party Materials:** The Client is responsible for securing rights to use any third-party materials provided for the project (e.g., stock images, licensed software).

9. Performance and Results
- While Jazzie Marketing Guru will use its expertise to deliver quality services, results in areas such as SEO, PPC, and social media cannot be guaranteed due to factors beyond the Freelancer’s control (e.g., search engine algorithm changes, market conditions).

10. Termination of Services
- Either party may terminate the agreement at any time by providing written notice. If terminated by the Client, the Client will be responsible for paying for all services completed up to the termination date.
- If the Client breaches any terms of this agreement, Jazzie Marketing Guru reserves the right to terminate services immediately without a refund.

11. Liability
- Jazzie Marketing Guru will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, profits, or data arising from the services provided.
- The Freelancer’s total liability under this agreement will be limited to the fees paid for the services.

12. Force Majeure
- Jazzie Marketing Guru is not liable for any delays or inability to deliver services due to circumstances beyond its control, including natural disasters, strikes, or unforeseen technical issues.

13. Dispute Resolution
- In the event of any disputes, both parties agree to first attempt to resolve the issue through informal mediation. If a resolution cannot be reached, any legal disputes will be governed by the laws of Texas.

14. Entire Agreement
- These terms and conditions, along with any signed agreements, represent the entire agreement between Jazzie Marketing Guru and the Client. Any modifications or changes must be made in writing and agreed upon by both parties.
